1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of SmartGST Invoices (“SmartGST”, “we”, “our” or “us”), available at https://www.invoicemaker.co.in, including our website, web application and related services (the “Service”).

By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service. If you are using the Service on behalf of a business, you represent that you are authorised to bind that business to these Terms.

2. Description of the Service

SmartGST Invoices provides GST-compliant tools for Indian businesses, including invoicing, quotations, recurring invoices, credit and debit notes, expense and purchase tracking, payment collection, GST return data (GSTR-1 / GSTR-3B), reports, and an AI assistant. The specific features available to you depend on your subscription plan (Free, Premium or Enterprise).

3. Accounts & Eligibility

To use the Service you must create an account. You agree to:

• Provide accurate, current and complete information and keep it updated.
• Keep your login credentials confidential and secure.
• Be responsible for all activity that occurs under your account.
• Be at least 18 years old and legally capable of entering into a binding contract.
• Notify us promptly of any unauthorised use of your account.

4. Subscriptions, ₹1 Trial & Billing

We offer Free, Premium and Enterprise plans. Paid plans are billed monthly or yearly as selected.

The ₹1 trial unlocks paid features for 7 days. Unless cancelled before the trial ends, it automatically converts to a paid subscription and renews at the applicable plan price via Razorpay auto-debit. You may cancel the mandate at any time before renewal.

Subscriptions renew automatically until cancelled. Cancellation stops future renewals and takes effect at the end of your current billing period. Fees already paid are non-refundable except where required by applicable law. Prices may change with prior notice; changes apply to subsequent billing cycles.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation, or issue fraudulent, false or misleading documents.
• Infringe the intellectual property, privacy or other rights of any third party.
• Upload malware or attempt to gain unauthorised access to, disrupt, or reverse-engineer the Service.
• Resell, sublicense or misuse the Service in a manner that harms us or other users.
• Send unsolicited or unlawful communications using the Service.

6. Your Data & Ownership

You retain all rights to the business and customer data you enter into the Service (“Your Data”). You grant us a limited licence to host, process and display Your Data solely to provide the Service to you. You are responsible for the accuracy and legality of Your Data and for having the necessary rights to use it.

7. Compliance Responsibility

SmartGST Invoices is a tool that helps you prepare invoices, quotations and GST data. It does not constitute tax, legal or accounting advice. You remain solely responsible for verifying the correctness of your documents and GST filings and for meeting your statutory obligations. Please review all figures, tax rates and reports before filing or relying on them.

8. Third-Party Services

The Service integrates with third-party providers such as Razorpay (payments), Twilio / MSG91 (SMS), WhatsApp Business API and email delivery. Your use of those integrations may be subject to the respective provider’s terms. We are not responsible for the acts, omissions or availability of third-party services.

9. Intellectual Property

The Service, including its software, design, logos, templates and content (excluding Your Data), is owned by SmartGST Invoices and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, modify or create derivative works of the Service.

10. Service Availability

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue features, and perform maintenance that temporarily affects availability. We will make reasonable efforts to minimise disruption.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy or non-infringement, to the maximum extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by law, SmartGST Invoices and its team shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, goodwill or business, arising from or related to your use of (or inability to use) the Service or reliance on the documents and reports it produces. Our total aggregate liability shall not exceed the amount you paid us in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless SmartGST Invoices from any claims, damages, liabilities and expenses arising out of your use of the Service, Your Data, or your violation of these Terms or applicable law.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, misuse the Service, or as required by law. Upon termination, your right to use the Service ends; provisions that by their nature should survive (such as ownership, disclaimers and limitations of liability) will survive.

15. Governing Law

These Terms are governed by the laws of India, and you agree to the exclusive jurisdiction of the competent courts in India for any disputes arising out of or relating to the Service or these Terms.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
